The headquarters of the Spanish bank BBVA are seen in Madrid, Spain. Spanish bank BBVA on Thursday presented a 12.23 billion euro ($13.11 billion) takeover bid for rival Sabadell directly to shareholders, even though Sabadell's board this week already rejected the proposal on the same terms. BBVA's decision follows Sabadell's board on Monday saying the unsolicited bid significantly undervalued the bank's potential and growth prospects. BBVA, Spain's second-biggest bank by market value after Santander, offered an exchange ratio of 1 newly issued BBVA share for every 4.83 Sabadell shares, a premium of 30% over April 29 closing prices. Spanish banks have been looking for ways to increase revenue as a boost from high interest rates begins to fade.

Spanish bank BBVA caught markets by surprise on Thursday after it announced a rare hostile takeover bid for domestic rival Banco Sabadell, with one investment firm describing the situation as "very strange." The move comes shortly after a separate 12 billion euro ($12.87 billion) takeover offer from BBVA to Sabadell's board was rejected earlier in the week. BBVA said its takeover offer has the same financial terms as the merger offered to Sabadell's board. Shares of BBVA fell 6% at around midday London time on Thursday, while Sabadell's stock price rose more than 3%.

But the FBI said this week they’ve arrested the mystery man who entered her Madrid apartment building that night: her estranged husband. Knezevich’s attorney, Kenneth Padowitz, told CNN in February that his client is innocent and “has never been to Spain.” Padowitz declined to comment Wednesday after Knezevich’s arrest. She was planning a trip to Barcelona with her friends on February 5, her brother told CNN, making her sudden lack of contact more concerning. Spanish firefighters entered her apartment for a welfare check and she was nowhere to be found, court documents said. “There are some things you, the bed partner, can do to save your sleep,” Schenck said. Medications to treat depression, and other mental health disorders, high blood pressure, seizures, asthma and, oddly, other sleep disorders can also cause sleep talking, according to the Cleveland Clinic. “Cut out alcohol so you can share your consideration for the bed partner who is disturbed by your sleep talking.”What causes sleep talking? Sleep talking is a parasomnia, in the same category as sleep terrors, sleep eating, sleep paralysis and sleep sex. Some people who have sleep talking or walking as children do return to the behavior as adults, but many others do not,” he said.

Carlos Barria | Afp | Getty ImagesDifferences between U.S.-led Western and China-aligned economic blocs threaten global trade cooperation and economic growth, a top official with the International Monetary Fund warned on Tuesday. IMF Deputy Managing Director Gita Gopinath said in a speech at Stanford University that events such as the global pandemic and Russia's invasion of Ukraine have disrupted global trade relations in ways not seen since the Cold War. "Increasingly, countries around the world are guided by economic security and national security concerns in determining who they trade with and invest in," she said, adding that this has resulted in countries increasingly picking sides between China and the U.S. Trade between the China and U.S. blocs has declined compared with trade among countries within the groupings, Gopinath said. The U.S. bloc mainly includes Europe, Canada, Australia and New Zealand, while China-leaning countries include Russia, Eritrea, Mali, Nicaragua and Syria.

Microsoft was hit with a Spanish startup group's complaint about its cloud practices to the Spanish antitrust regulator on Tuesday, the latest grievance over its fast-growing cloud computing services and which followed a trade group's EU complaint. The Spanish Startup Association, which represents more than 700 startups in Spain, cited a number of allegedly anti-competitive practices by Microsoft in recent years. Microsoft defended its cloud practices. "Microsoft provides choice and flexibility for our customers to switch to another cloud provider at no cost, and our licensing terms enable our customers and other cloud providers to run and offer Microsoft software on every cloud," a spokesperson said. "We will engage with the Spanish Startup Association to learn more about its concerns."

Sabadell's board rejected a merger proposal by larger rival BBVA for a 12 billion euro ($12.93 billion) all-share merger, the Spanish lender said on Monday. Last week, BBVA had offered an exchange ratio of one newly issued BBVA share for every 4.83 Sabadell shares, a premium of 30% over April 29 closing prices. Since the indicative offer was announced by BBVA, Sabadell have risen 8.8% while shares in BBVA have fallen 9.7%. Taking into account Monday's closing share price, the premium would just be equivalent to 7.8%, valuing Sabadell at around 11 billion euros. The combined entity would also overtake Caixabank as the biggest domestic lender in Spain with over 625 billion euros in assets in the country, compared with Caixabank's just over 574 billion euros.

In that case, Smith alleged Trump broke criminal laws through his efforts to overturn the results of the 2020 election. CNN —Judge Aileen Cannon has indefinitely postponed former President Donald Trump’s classified documents trial in Florida, citing significant issues around classified evidence that would need to be worked out before the federal criminal case goes to a jury. In an order Tuesday, Cannon cancelled the May trial date and did not set a new date. By indefinitely postponing the classified documents trial, Cannon’s order pushes it closer to the 2024 election – and potentially afterward. Although Trump’s attorneys have continuously asserted in court filings that a pre-election trial would be “unfair.”The further delayed trial also could put Trump’s two federal cases on a collision course. Trump is charged in the Florida case with mishandling classified documents and with working with two co-defendants, Walt Nauta and Carlos De Oliveira, to obstruct the Justice Department’s investigation.

How Bad Are Ultraprocessed Foods, Really?
  + stars: | 2024-05-06 | by ( Alice Callahan | ) www.nytimes.com   time to read: +1 min
In the mid-1990s, Carlos Monteiro, a nutritional epidemiologist in Brazil, noticed something alarming: Obesity rates among children in his country were rising rapidly. To understand why, he and his colleagues at the University of São Paulo scrutinized data on the food buying patterns of Brazilian households to see if they had changed in recent years. The researchers found that people were purchasing less sugar, salt, cooking oils and staples like rice and beans, and more processed foods like sodas, sausages, instant noodles, packaged breads and cookies. To describe that second category of food, the team came up with a new term: ultraprocessed foods, or UPFs, which they would later link to weight gain in children and adults in Brazil. Since then, scientists have found associations between UPFs and a range of health conditions, including heart disease, Type 2 diabetes, obesity, gastrointestinal diseases and depression, as well as earlier death.

The competition – which tries desperately to retain its “apolitical” tag – has become the largest cultural event so far to be rocked by the repercussions of Israel’s war in Gaza. Warning: this episode contains strong language. Over the past week, students at dozens of universities held demonstrations, set up encampments and, at times, seized academic buildings. In response, administrators at many of those colleges decided to crack down and called in the local police to detain and arrest demonstrators. As of Thursday, the police had arrested 2,000 people across more than 40 campuses, a situation so startling that President Biden could no longer ignore it. Jonathan Wolfe, who has been covering the student protests for The Times, and Peter Baker, the chief White House correspondent, discuss the history-making week.
